These Terms & Conditions ("Terms") govern your use of the iXBRL Micro-Entity Accounts Generator service ("Service") operated by iXBRL Generator ("we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

2. Service Description

The Service provides a web-based tool to generate iXBRL (Inline eXtensible Business Reporting Language) documents for UK micro-entity companies filing accounts under FRS 105 to Companies House.

The Service includes:

• Data entry forms for balance sheet and profit & loss accounts
• Automatic calculation of totals and reconciliations
• Generation of iXBRL-compliant HTML documents
• Validation against FRC (Financial Reporting Council) taxonomies

3. User Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use this Service. By using the Service, you represent and warrant that you meet these requirements.

4. User Obligations

4.1 Accurate Information

You are solely responsible for ensuring that all financial data you enter into the Service is accurate, complete, and compliant with applicable accounting standards (FRS 105) and UK Companies Act 2006 requirements.

4.2 Proper Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must NOT:

• Use the Service to file accounts for companies that do not qualify as micro-entities under FRS 105
• Submit false, misleading, or fraudulent financial information
• Attempt to reverse-engineer, decompile, or extract source code from the Service
• Use automated scripts or bots to access the Service without authorization
• Interfere with or disrupt the Service or its servers
• Use the Service to violate any applicable laws or regulations
• Impersonate another person or entity
• Upload malicious code, viruses, or harmful content

4.3 Professional Advice

The Service is a tool for generating iXBRL documents and does NOT provide accounting, tax, or legal advice. You should consult a qualified accountant, tax advisor, or solicitor for professional guidance on your specific circumstances.

5. Intellectual Property Rights

5.1 Our Rights

All intellectual property rights in the Service, including but not limited to software, design, text, graphics, and logos, are owned by or licensed to iXBRL Generator. These Terms do not grant you any ownership rights.

5.2 Your Rights

You retain all rights to the financial data you input and the generated iXBRL documents. We claim no ownership over your data or generated documents.

5.3 License to Use

We grant you a limited, non-exclusive, non-transferable, revocable, free-of-charge license to access and use the Service for your personal or business purposes in accordance with these Terms.

6. Disclaimers and Limitations of Liability

6.1 No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Accuracy, completeness, or reliability of the Service
• Fitness for a particular purpose
• Uninterrupted or error-free operation
• Compatibility with Companies House filing systems
• Compliance with all applicable accounting standards

6.2 Validation Disclaimer

IMPORTANT: While the Service validates generated documents against FRC taxonomies, WE DO NOT GUARANTEE that the documents will be accepted by Companies House or that they comply with all legal and accounting requirements. You are responsible for reviewing and verifying all generated documents before filing.

6.3 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, iXBRL Generator SHALL NOT BE LIABLE FOR:

• Any errors, inaccuracies, or omissions in generated documents
• Rejection of filed accounts by Companies House
• Fines, penalties, or legal consequences resulting from use of the Service
• Loss of data or business interruption
• Indirect, incidental, consequential, or punitive damages
• Damages arising from reliance on the Service
• Any direct, indirect, or consequential loss or damage of any kind

NO LIABILITY: The Service is provided entirely free of charge on an "AS IS" basis. To the fullest extent permitted by law, we accept NO LIABILITY whatsoever for any loss, damage, cost, or expense arising from or in connection with your use of the Service. You use the Service entirely at your own risk.

6.4 User Responsibility

You acknowledge that you are solely responsible for:

• Accuracy of all data entered into the Service
• Reviewing generated documents before filing
• Ensuring compliance with Companies Act 2006 and FRS 105
